Membership Guide

GENERAL

Midwest Airlines, Inc. ("Midwest") reserves the right to change the Midwest Miles Program ("Program") rules, regulations, fees, travel awards, participating Program Partners and special offers at any time without notice, and to end the Program in part or in its entirety with six months notice. This action may affect Program benefits and the value of accumulated mileage, award certificates or award tickets. These rules apply to the participation of all airline, car rental, hotel, financial services and other Program Partners. Midwest will be the final authority on mileage credit and award qualification.

As a condition of participating in the Program, members grant Midwest permission to communicate with them by e-mail, facsimile, telephone, U.S. mail and express delivery service. Midwest will generally communicate with Program members by e-mail, but may communicate with members, including those without e-mail, by other means. Any notices of Program updates and changes will be posted on the Program web site at midwestmiles.com.

An account mileage summary and newsletter will be e-mailed to members monthly. Members without a registered e-mail address can request a printed mileage summary at any time through the Midwest Miles Service Center by calling 800-314-7125. Account information including current balance, recent activity and member profile as well as other Program information is available anytime on the Program web site at midwestmiles.com. Members are responsible for notifying the Midwest Miles Service Center if they did not receive a mileage summary for a month in which they had activity. Members must notify the Midwest Miles Service Center of any change in mailing address, e-mail address, phone number or name change to ensure proper delivery of Program materials and communications.

Mileage in a member's account will not expire and will be available for award redemption and other benefits as long as the member has qualifying activity in his or her account during any consecutive 36-month period. Qualifying activity is defined as any of the following transactions: Midwest Airlines, Midwest Connect or codeshare flight taken by the member for which a ticket was purchased and mileage accrued in his or her account; the posting of mileage to an account through the Buy, Gift or Business Miles program; or any qualifying Program Partner or Midwest Airlines MasterCard activity that results in miles being earned and accrued in the member's account. Miles posted to a member's account for enrollment in the Program or through an exchange or transfer with a Program Partner will not be considered qualifying activity. All mileage in a member's account will be deemed expired and not valid for award redemption or other benefits if there is no qualifying activity during any consecutive 36-month period. Accounts without qualifying activity in the first 12 months after enrollment may be deleted.

Mileage, award certificates and award tickets may not be brokered, bartered, purchased, sold or altered except as expressly permitted by Midwest. Miles may not be redeemed or transferred from a member's account unless the account contains qualifying activity (as defined above). Mileage, award certificates and award tickets are not transferable, refundable or redeemable for cash. Unused awards may be returned to Midwest for mileage credit if not expired for the then applicable service fee. Lost, stolen or expired award certificates will not generally be replaced. Unless specifically noted otherwise on the ticket, certificate or in accompanying materials, award certificate redemption and benefit usage must be completed within one year from the date of award issuance. Other restrictions listed on the award certificate apply.

Travel awards, mileage accrual and special offers are subject to government regulations. Any tax liability incurred by the use or receipt of award certificates or benefits is the responsibility of the user or recipient. Award certificates and award tickets may be subject to applicable passenger facility charges, departure taxes, customs fees, fuel surcharge or other fees, taxes or charges imposed by government authorities (including security fees) or Program Partners and are the responsibility of the award recipient.

Award travel seat availability is limited and varies from flight to flight. There may be instances in which flights are not sold out but award travel is not available. Award usage will not be permitted during blackout dates or with non-participating locations that are established by Program Partners. Midwest reserves the right to audit any and all Midwest Miles accounts at any time for compliance with the Program rules, without notice to the Program member. In the event that an audit reveals discrepancies or possible violations of the Program rules, the processing of award redemption requests may be delayed pending completion of the audit. Midwest may also terminate a person's membership and cancel mileage and unused awards if the audit reveals that any Program rules have been violated or if a member violates any Midwest Airlines ticketing or travel requirements.

MEMBERSHIP

Membership is limited to individual persons (members) and their account must be in their legal name. Pooling of mileage or use of a single account for different individuals is not permitted. Midwest does not generally allow individuals to have more than one account in the Program and duplicate accounts are subject to cancellation.

By participating in the Program, members understand and agree that they may receive promotional materials, mailings and e-mails from Midwest and the Program Partners regarding Program Partner products, service or promotions. A member may ask to be excluded from any such Program Partner mailings by notify the Midwest Miles Service Center by telephone (800-314-7125) or in writing. However, Midwest reserves the right to divulge account information and activity to Program Partners in connection with the administration of the Program.

OBTAINING MILEAGE CREDIT

Members must provide their Program account number when making flight reservations and should verify that their number has been recorded accurately at flight check-in. The membership card or account number must be presented or provided to participating Program Partners as required when making reservations, purchases or other qualifying transactions in order to obtain mileage credit. The member’s registered account name must match the name on the flight reservation and ticket or Program Partner transaction to qualify for mileage credit.

Members will receive credit on the basis of DOT- or IATA-approved nonstop distances between the originally ticketed origin and final ticketed destination of their flight. On connecting flights, mileage will be credited for each flight segment of the trip. On direct or through flights that make multiple stops, accounts will be credited as if it were a nonstop flight, awarding mileage for the nonstop distance between the originally ticketed trip origin and final ticketed destination. A minimum of 500 miles will be credited for any Midwest Airlines or Midwest Connect trip of less than 500 miles, including codeshare flights.

Mileage will be credited to an account only once per flight, regardless of the number of seats purchased. This means that even if the member purchases more than one ticket for the flight for any reason, their account will only be credited for one ticket. Mileage will not be awarded on refunded or unused portions of tickets or for flight cancellations due to circumstances outside of Midwest's control. Members must fly to accrue mileage credit for any ticket.

Midwest, in its sole discretion, may permit members to earn Midwest Miles for flights flown on other Program Partners airlines , and other airlines may, by agreement with Midwest, permit their program members to earn miles in that program for flights on Midwest or Midwest Connect. In such cases, a member may not receive credit in more than one loyalty or frequent flyer-type program for any single flight or activity unless explicitly offered by Midwest or a Program Partner. Account audits that reveal credit in multiple programs for a single transaction, unless otherwise permitted by Midwest or the Program Partner, will be considered a violation of Program rules.

Accrued mileage and awards are not considered property of the member and are generally not transferable upon death (except that a spouse may bequeath unused, accrued mileage to a surviving spouse), as part of a legal settlement, as part of a domestic relations matter, or otherwise by operation of law.

The following travel is not eligible for mileage credit: free, donated, promotional, or non-revenue tickets; Midwest Miles or Program Partner award travel; travel industry discount tickets; certain tour package fares; infant or unpublished fares; charter flights; or segments flown on another airline as a result of a schedule change or flight cancellation. No mileage credit can be awarded for flights taken more than two weeks prior to the first date of membership. Mileage credit will not be earned for award redemption with Program Partners or any other specified transaction or activity as defined and established by the Program Partner.

Midwest reserves the right to make bonus miles and promotional offers selectively available to certain members at any time, based on flight activity, geographic locations, Program participation, or other factors determined at Midwest's sole discretion.

PAST-DATE CREDIT REQUESTS
Members should contact the Midwest Miles Service Center by phone or through the Program web site with questions regarding mileage credit for travel on Midwest Airlines or Midwest Connect. All such inquiries must be made within 180 days of travel, and must include the member's Midwest Miles account number. Members may also be asked to submit a copy of the ticket, itinerary or other appropriate receipts.

MIDWEST AIRLINES TRAVEL AWARDS

REQUESTING AWARDS/AWARD TICKETS
Midwest Airlines award travel can be arranged by using our web site or calling the Midwest Miles Service Center at 800-314-7125 no later than 24 hours prior to the scheduled time of departure. Members must identify themselves as an award traveler when making reservations and will be asked to verify their identity when claiming a Midwest Miles award. If requesting an award through the Midwest Miles Service Center within 7 days of departure, the request will be processed subject to feasibility and availability at Midwest’s discretion, and payment of the then-applicable service fee. Award travel may not be requested or ticketed through travel agencies and corporate travel departments.

A description of each award type and the amount of mileage necessary to obtain each award is available online at midwestmiles.com or can be obtained from the Midwest Miles Service Center. The award structure is subject to modification, cancellation, or limitation at Midwest's discretion, with or without notice. The amount of mileage necessary to obtain an award may be substantially increased, any award may be withdrawn, the cities served by Midwest and its airline Program Partners may be changed (i.e., cities may be added or deleted) and restrictions on any award or its redemption, including the imposition of black-out dates or changes in capacity control may be imposed by Midwest at any time. The accumulation of mileage does not entitle members to any vested rights with respect to any awards, award travel or the Program. Members may not redeem or transfer miles from their account unless there is at least one qualifying activity in the account (as defined under the General section of these rules).

Companion awards require the member to purchase another ticket at certain published rates for themselves and require the member to travel on the same itinerary as the companion. A member may redeem only one companion award per trip.

Once travel commences, only date and flight number changes will be permitted, subject to availability. Changes to routing are not permitted. Ticket changes prior to travel are permitted within the validity period of the original award subject to payment of the then applicable service fee. No voluntary stopovers are permitted on free award travel. In the event of delayed or canceled flights, award travelers will be rerouted on other Midwest and/or Midwest Connect flights.

Choice awards, valid on Midwest and Midwest Connect only, allow members to redeem additional miles for any available seat on flights on which the standard award seats have already been committed subject only to the actual number of seats available on the aircraft. There may be instances where seats are available for sale but not available for choice awards due to oversale situations. On aircraft where there are Signature and Saver seats, choice awards are only valid for the last available physical Saver seat.

EXECUTIVE PROGRAM

Midwest Miles members who accumulate at least 20,000 flight miles or 25 one-way trips (origin to destination) on Midwest Airlines or Midwest Connect in a calendar year are eligible for the Midwest Miles Executive Program. Executive Program members are provided with additional benefits and services, including, but not limited to, bonus miles for Midwest flights and for reaching specified flight mileage thresholds, reduced mileage redemption levels for certain awards and ongoing Program Partner special offers and benefits. A list of current benefits of the Executive Program can be found online at midwestmiles.com.

Midwest Miles Executive Program benefits are valid from the date a member's Midwest Miles account is changed to Executive Program status through December 31 of the year in which the member does not accrue sufficient miles or trips to retain Executive Program status. A member is required to re-qualify for the Executive Program by accruing at least 20,000 credited flight miles (excluding bonus miles) or 25 one-way trips between January 1 and December 31 in each calendar year.

Midwest reserves the right to change Midwest Miles Executive Program rules, qualification levels, regulations, fees, travel awards, benefits and special offers at any time without notice, and to end the Executive Program in its entirety with six months notice. This action may affect Executive Program benefits and the value of accumulated mileage, award certificates or Program Partner offers. Midwest is the final authority on Executive Program qualification and benefits.

PROGRAM PARTNERS

The Midwest Miles Program Partners ("Program Partners") are airlines, car rental companies, hotels, financial service providers or other entities that permit the accrual of mileage to Program members who utilize their products or services and/or offer products or services to Midwest Miles members as awards in the Program. Program Partner participation is subject to change without notice. The Program Partners are independent entities, and Midwest is not responsible for the nature or quality of products or services provided by the Program Partners, nor any solicitation effort by the Program Partners. Midwest shall have no liability if a Program Partner withdraws from the Program or for award cancellations caused by Program Partner withdrawals or changes, discontinued Midwest or Program Partner service, or award or mileage accrual cancellations for any other reason. Program Partners or Midwest may, at their discretion and without notice, change the terms and conditions under which mileage is earned and the amount of mileage required for Program Partner awards or impose other restrictions upon the use of their awards. Routing and destinations for award travel on airline Program Partners are determined by Midwest and each airline Program Partner and are subject to change without notice.

Members must present a valid Midwest Miles membership card or Program account number as required by the Program Partner to earn mileage credit for qualifying transactions. Allow 60 days from date of transaction for Program Partner mileage to be credited.

Contact the Midwest Miles Service Center or visit the web site at midwestmiles.com for a list of the current Program Partners and the terms and conditions for earning and redeeming miles with Program Partners.

CLAIMING PROGRAM PARTNER AWARDS
Members may redeem miles for program partner awards by contacting the Midwest Miles Service Center at 800-314-7125 or, for some awards, through the program Web site at midwestmiles.com. Midwest will issue program partner award certificates or an electronic confirmation code as required by the partner. Requests for program partner awards that require certificates should be received by Midwest at least 14 days in advance. Express delivery of program partner award certificates can be requested and provided upon payment of the then applicable service fee. Midwest is unable to process requests for program partner award certificates that are received less than three days in advance. Midwest recommends that before requesting program partner awards, members check with the program partner to confirm availability of the service or product desired for the award.

Midwest will be the final authority for airline Program Partner award itineraries and ticketing. If a flight is canceled, members will be reaccommodated but only on the same Program Partner's next available flight with available award seats to the award destination. Hotel, meal expenses and transportation expenses incurred as a result of layovers, delays, overnight connection requirements and flight cancellations are the responsibility of the member.

All Program Partner flight award itineraries must originate and/or terminate in the U.S. or Canada. No stopovers or open-jaw itineraries are allowed unless otherwise expressly permitted. Date changes may be allowed for the then applicable service fee but only if requested at least three weeks before departure date. Once travel has commenced, changes are not permitted.

Other terms and conditions imposed by the Program Partner may also apply.

PAST-DATE CREDIT REQUESTS
Credit requests for Program Partner activity will be honored if a transaction receipt for the qualified service or product is submitted to the Midwest Miles Service Center within 180 days of the transaction date. To request mileage credit for flights flown on a qualifying airline Program Partner, members must submit a legible copy of the passenger ticket receipt and boarding pass. Boarding passes alone will not be considered valid documentation for earning past-date mileage credit.

Midwest and Program Partners reserve the right to review and audit all credit requests for qualification and may approve or deny such requests in their sole discretion.

MIRACLE MILES

Members are invited to join Midwest Airlines in supporting the efforts of nonprofit organizations through the Miracle Miles Program. This program provides free air travel to registered nonprofit organizations from donations by Midwest Airlines and Program members.

Members may make donations in amounts of 1,000 miles or more. For single donations of 5,000 miles or more, Midwest will contribute one mile for every three miles donated by the member. Midwest Miles members who make donations of 15,000 miles or more can designate any registered Miracle Miles nonprofit organization as the beneficiary.

Donations may not exceed the Member's account balance and may not be made from accounts having only sign-up bonus mileage. Donations may not be redeposited to any account.

To donate to the Miracle Miles Program, complete the form found on the Midwest Web site or mail a letter or donation form to the Midwest Miles Service Center.

Donations are not tax-deductible.

PURCHASE MILES

Members can purchase Midwest Miles for their own account or the account of another member through the Buy/Gift Miles program. Members may purchase up to 15,000 miles per account per calendar year. Miles can be purchased in increments of 1,000 miles and may be applied to any Midwest Miles awards. Purchased miles are non-refundable and will be posted to the appropriate Midwest Miles account within 24 hours of purchase. Awards may not be redeemed using purchased miles until they are posted in the member's account. Purchased miles do not count toward qualifying for Midwest Miles Executive Program status.
